QLYQ ADVERTISER & BRAND PARTNERSHIP TERMS

These Advertiser & Brand Partnership Terms (“Advertiser Terms”) govern your use of QlyQ’s advertising, sponsorship, and brand promotion services (“Services”), including campaigns on https://qlyq.net, https://creator.qlyq.net,  and associated APIs or platforms.

By using the Services, you agree to these terms in addition to the QlyQ Terms of Service.

  1. Eligibility

To use the Services, you must:

  • Be a legally registered business or brand entity
  • Comply with applicable advertising laws and regulations in your jurisdiction
  • Not be prohibited under international sanctions or export restrictions
  • Provide accurate business and payment information

QlyQ reserves the right to accept or reject any advertiser or brand partner at its sole discretion.

  1. Services and Deliverables

QlyQ may provide advertisers with:

  • Programmatic ad placements (pre-roll, mid-roll, display)
  • Direct brand campaigns with creators
  • Sponsored content or premium placements
  • Analytics dashboards and reporting
  • Campaign management and targeting services

All deliverables are subject to platform inventory availability, audience targeting parameters, and content compliance.

  1. Campaign Booking & Insertion Orders

Campaigns must be booked via QlyQ’s official portal or by signed insertion order (IO) / contract.

Each IO or campaign agreement specifies:

  • Ad placement type
  • Campaign duration
  • Target audience and geography
  • Budget / CPM or flat fee
  • Reporting metrics

Once accepted, IOs are binding and may not be canceled except as provided herein.

  1. Advertiser Obligations

Advertisers must:

  • Provide content that complies with all applicable laws
  • Own all rights to ad creative, including intellectual property and licenses
  • Ensure content does not violate QlyQ’s Community Guidelines or brand safety rules
  • Disclose sponsorships or promotional material per local regulations

QlyQ may reject, remove, or modify any creative that violates these obligations.

  1. Payment Terms
  • Fees are due as specified in the IO or campaign agreement
  • QlyQ may require prepayment or escrow for first-time advertisers
  • Non-payment may result in campaign suspension, termination, or legal action

All payments are exclusive of taxes; advertisers are responsible for applicable VAT, GST, or sales taxes.

  1. Ad Performance & Reporting
  • QlyQ provides estimated impressions, clicks, or engagement metrics
  • Metrics are for informational purposes; QlyQ does not guarantee performance
  • Adjustments may occur due to invalid traffic, fraud, or system errors
  • Advertisers are encouraged to independently verify campaign results
  1. Brand Safety & Content Moderation

QlyQ enforces strict brand safety standards:

  • Ads will not appear on content flagged as inappropriate or unsafe
  • Campaigns may be paused or modified to protect platform integrity
  • Advertisers must comply with local advertising codes and consumer protection laws
  1. Intellectual Property

Advertiser retains IP in ad creative. By submitting creative:

  • Advertiser grants QlyQ a worldwide, non-exclusive, royalty-free license to use, display, distribute, and promote the creative as part of campaigns
  • QlyQ retains ownership of platform IP, algorithms, and campaign management systems
  1. Fraud & Invalid Traffic

QlyQ monitors for invalid traffic, including:

  • Bot-generated views or clicks
  • Click farms or incentivized actions
  • Engagement manipulation

QlyQ may adjust reports, withhold campaign credit, or suspend campaigns. Fraud determinations are final.

  1. Campaign Changes & Termination

QlyQ may:

  • Modify or suspend campaigns for legal compliance or safety concerns
  • Terminate campaigns for policy violations
  • Adjust ad placements due to system constraints

Advertisers may not cancel campaigns except as provided in the IO.

  1. Disclaimers

Services are provided “AS IS”:

  • QlyQ does not guarantee impressions, clicks, conversions, or ROI
  • QlyQ is not liable for advertiser marketing decisions or results
  • QlyQ does not control user engagement
  1. Limitation of Liability

To the maximum extent permitted by law:

  • QlyQ shall not be liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed amounts paid by advertiser for the campaign in question
  1. Indemnification

Advertisers agree to indemnify QlyQ for claims arising from:

  • Intellectual property infringement
  • Illegal, misleading, or harmful content
  • Violations of applicable advertising laws or regulations
  1. Governing Law & Dispute Resolution
  • Governed by the laws of Malaysia
  • Disputes subject to binding arbitration unless prohibited by law
  • Arbitration conducted in English under internationally recognized rules
